By accessing or using the Luvarity website, creating an account, purchasing a subscription, or otherwise using the Luvarity service, you agree to these Terms of Service and our Privacy Policy.

If you do not agree to these Terms, do not access or use Luvarity. If you use Luvarity on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.

You must be at least 18 years old, or the age of legal majority where you live if higher, to create a Luvarity account unless we expressly authorize otherwise.

You agree to provide accurate account information, keep it reasonably current, protect your login credentials, and promptly notify us if you believe your account has been accessed without authorization.

You are responsible for activity performed through your account unless that activity resulted from a security issue attributable to Luvarity.

Luvarity is a software workspace designed to help managers organize the everyday work of managing people, including team information, conversations, 1:1s, meetings, notes, follow-ups, tasks, goals and development, onboarding, interviews, and related management activities.

You remain responsible for your management decisions, workplace obligations, and compliance with policies and laws that apply to you or your organization.

You may not use Luvarity to:

• violate any applicable law or regulation;
• infringe or violate another person's rights;
• access, collect, or store information you are not authorized to use;
• upload malicious code, interfere with the service, or attempt to bypass security controls;
• probe, scan, test, reverse engineer, or attempt to gain unauthorized access to Luvarity or another user's data, except where applicable law expressly permits such activity;
• impersonate another person or misrepresent your identity or authority;
• use Luvarity to harass, discriminate against, threaten, or unlawfully monitor another person; or
• use automated means to abuse, overload, scrape, or disrupt the service.

You retain responsibility for information and content you enter into Luvarity. You grant Luvarity the limited rights necessary to host, process, transmit, display, back up, and otherwise handle that content solely as needed to operate, secure, support, and improve the service.

If you enter information about employees, candidates, team members, coworkers, or other people, you represent that you are authorized to collect and use that information for the purpose for which you enter it.

Do not use Luvarity as a repository for information that is unrelated to legitimate management purposes, information prohibited by your employer, or information you are not permitted to maintain.

Luvarity is offered as one paid subscription at $19.99 per month. There is no free version or free trial. Subscriptions renew automatically each month until canceled. Applicable taxes may be added where required.

Subscription payments are nonrefundable except where a refund is required by applicable law. If you cancel, future renewals stop and your paid access continues through the end of the current paid billing period. No prorated refund is provided for unused time in that billing period.

A successful initial payment is required for paid access. If a renewal payment fails, access to the Luvarity workspace may be locked immediately without a grace period. Our payment processor may retry failed charges. Successful payment or reactivation restores eligible access after payment is confirmed.

If paid access ends, account and workspace data may be retained in a locked state for up to 90 days. Reactivating during that period may restore eligible retained data. After the retention period, retained workspace data may be permanently deleted.

If you reactivate a canceled or unpaid subscription during the applicable retention period, the current monthly subscription price will be charged when reactivation is completed and a new monthly billing cycle will begin on the reactivation date.

We may change subscription pricing in the future. Existing customers will receive advance notice before a price increase affecting their subscription, as required by applicable law.

Luvarity and its software, design, branding, logos, website, interfaces, documentation, and other service materials are owned by Luvarity or its licensors and are protected by applicable intellectual-property laws.

These Terms give you a limited, non-exclusive, non-transferable, revocable right to access and use the service for its intended purpose. They do not transfer ownership of Luvarity or its intellectual property to you.

If you voluntarily provide suggestions, ideas, bug reports, feature requests, or other feedback, you allow us to use that feedback without restriction or compensation to develop, improve, market, and operate Luvarity. This does not give us ownership of your workspace content or personal information.

Luvarity relies on third-party providers for services such as hosting, authentication, databases, infrastructure, and communications. Your use of third-party websites or services may also be subject to their own terms and privacy policies.

We are not responsible for third-party services that you independently choose to use or for third-party websites that are not controlled by Luvarity.

We work to keep Luvarity available and reliable, but we do not guarantee uninterrupted or error-free operation. The service may occasionally be unavailable because of maintenance, upgrades, technical issues, security events, provider outages, or circumstances beyond our control.

We may add, modify, redesign, limit, suspend, or remove features as Luvarity develops. We may make reasonable changes to improve, secure, maintain, or evolve the service.

You may stop using Luvarity at any time. We may suspend or terminate access when reasonably necessary to protect the service, users, or others; address suspected misuse or security risks; comply with law; enforce these Terms; or discontinue the service.

Where reasonable under the circumstances, we may provide notice before terminating access. Immediate action may be necessary for security, legal, fraud, abuse, or safety reasons.

If you permanently delete your Luvarity account, associated subscription billing is intended to be canceled and account and workspace data is intended to be permanently deleted, subject to records we may retain when required or permitted by law, including transaction, security, fraud-prevention, backup, or other legitimate business records.

Provisions that by their nature should survive termination, including ownership, disclaimers, limitations of liability, and other legal provisions, will continue to apply.

To the maximum extent permitted by law, Luvarity is provided on an "as is" and "as available" basis. We disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade.

Luvarity does not guarantee that the service will meet every requirement, prevent every management mistake, preserve every item of data without interruption, or produce any particular workplace, employee, business, or management outcome.

To the maximum extent permitted by applicable law, Luvarity and its owners, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, business opportunities, goodwill, or data arising from or related to your use of the service.

To the maximum extent permitted by law, Luvarity's total liability for claims arising out of or relating to the service or these Terms will not exceed the greater of the amount you paid to Luvarity for the service during the 12 months immediately before the event giving rise to the claim or one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Luvarity and its owners, affiliates, representatives, and service providers from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful use of the service, your material violation of these Terms, or content you submit in violation of another person's rights.

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Unless applicable law provides otherwise, disputes arising from these Terms or the Luvarity service will be brought in the state or federal courts with jurisdiction in Indiana, and you consent to the jurisdiction of those courts.

We may update these Terms as Luvarity develops or as legal, operational, security, or product requirements change. When we do, we will update the effective date above.

If a change is material, we may provide additional notice when appropriate. Your continued use of Luvarity after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
